1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and the developer of Transcribe: Voice Summarize AI ("Transcribe", "we", "our", or "the App"). These Terms govern your access to and use of the App.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting with a new effective date. Your continued use of the App after changes are posted constitutes acceptance of the modified Terms.

2. Description of Service

Transcribe is an iOS application that provides the following features:

• Voice Recording: Record audio directly on your iOS device
• Speech-to-Text Transcription: Convert voice recordings to text using on-device iOS Speech Recognition
• AI Summarization: Generate intelligent summaries of transcriptions using on-device iOS Foundation Models
• Local Storage: Store recordings, transcriptions, and summaries locally on your device

All processing is performed entirely on your device. No data is transmitted to external servers or cloud services.

3. Eligibility

You must be at least 13 years old to use Transcribe. If you are under 18 years of age, you must have permission from a parent or legal guardian to use the App.

By using the App, you represent and warrant that you meet these eligibility requirements.

4. License and Restrictions

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Transcribe on your iOS device solely for personal, non-commercial purposes.

4.2 Restrictions

You agree not to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, sell, sublicense, or transfer the App
• Remove or alter any copyright, trademark, or proprietary notices
• Use the App for any illegal or unauthorized purpose
• Use the App to record others without their consent where prohibited by law
• Attempt to bypass or circumvent any access restrictions or payment requirements

5. Subscriptions and Payments

5.1 Auto-Renewable Subscriptions

Weekly and Annual subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.

5.2 Managing Subscriptions

You can manage and cancel subscriptions through your Apple ID account settings. Subscriptions may be managed by going to Settings > [Your Name] > Subscriptions on your iOS device.

5.3 Lifetime Purchase

The Lifetime purchase option provides permanent access to Transcribe's premium features with no recurring charges. This is a one-time payment and does not auto-renew.

5.4 Payment Processing

All payments are processed through Apple's App Store. We do not directly handle payment information. By purchasing through the App Store, you agree to Apple's terms and conditions.

5.5 Free Trial

If we offer a free trial period, you will be charged the subscription price at the end of the trial period unless you cancel before the trial expires.

5.6 Refunds

All purchases are processed through Apple's App Store and are subject to Apple's refund policies. We do not directly control or process refunds. To request a refund, contact Apple Support or visit https://support.apple.com/billing.

5.7 Price Changes

We reserve the right to modify subscription prices. Price changes will take effect at the start of your next subscription period after notice is provided.

6. User Responsibilities

6.1 Legal Compliance

You are responsible for ensuring your use of Transcribe complies with all applicable laws and regulations, including:

• Recording laws and consent requirements in your jurisdiction
• Privacy and data protection laws
• Intellectual property rights

6.2 Recording Consent

You are solely responsible for obtaining necessary consent before recording any conversation or individual. Recording laws vary by jurisdiction, and you must comply with all applicable laws.

6.3 Content Responsibility

You retain ownership and responsibility for all content you create with Transcribe, including recordings, transcriptions, and summaries. You are responsible for backing up your data.

7. Privacy and Data

Your privacy is important to us. Transcribe is designed with privacy first:

• All processing occurs on your device
• No data is transmitted to servers or cloud services
• We do not collect, store, or access your recordings or personal information

8. Device Requirements and Compatibility

Transcribe requires:

• An iOS device running a compatible version of iOS
• Sufficient storage space for recordings
• Microphone access permission
• Speech recognition capability

We are not responsible if the App does not function on your device due to hardware or software incompatibility.

9. Accuracy and Limitations

Transcribe uses iOS Speech Recognition and Foundation Models, which have inherent limitations:

• Transcription accuracy depends on audio quality, accents, background noise, and other factors
• AI summaries are generated automatically and may not capture all nuances
• The App is provided as a productivity tool and should not be relied upon for critical, medical, legal, or life-safety purposes
• You should review all transcriptions and summaries for accuracy

Transcribe is not intended for use in situations where inaccurate transcription or summarization could result in harm, injury, or legal liability.

10. Disclaimers

10.1 "AS IS" and "AS AVAILABLE"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

We do not warrant that transcriptions or summaries will be accurate, complete, or error-free. Speech recognition and AI technologies have inherent limitations.

10.3 Service Availability

We do not guarantee that the App will be available at all times or that it will function without interruption, errors, or bugs.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY
• WE ARE NOT LIABLE FOR ANY LOSS OF DATA, even if you have backed up data locally on your device
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM INACCURATE TRANSCRIPTIONS OR SUMMARIES

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless the developer and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of third-party rights, including recording without consent
• Content you create using the App

13. Intellectual Property

Transcribe, including its design, features, code, and content, is owned by the developer and protected by copyright, trademark, and other intellectual property laws. The Transcribe name, logo, and all related marks are proprietary.

You retain all rights to recordings, transcriptions, and summaries you create using the App.

14. Termination

14.1 By You

You may stop using the App at any time by deleting it from your device. You may cancel subscriptions through your Apple ID account settings.

14.2 By Us

We reserve the right to terminate or suspend your access to the App at any time for violation of these Terms or for any other reason, with or without notice.

14.3 Effect of Termination

Upon termination, your license to use the App ends immediately. Deleting the App will permanently remove all locally stored data.

15. Updates and Changes

We may update Transcribe from time to time to add features, fix bugs, or improve performance. Updates may be required to continue using the App. We reserve the right to modify or discontinue features at any time.

16. Third-Party Services

Transcribe uses Apple's built-in frameworks (AVFoundation, Speech Recognition, Foundation Models, StoreKit). Use of these iOS frameworks is subject to Apple's terms and conditions. We are not responsible for any changes to or discontinuation of Apple's services.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the developer is located, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall be resolved in the courts of that jurisdiction.

18. Dispute Resolution

If you have any concerns or disputes, please contact us first to attempt to resolve the issue informally. We are committed to working with you to reach a fair resolution.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of Transcribe and supersede any prior agreements.

21. No Waiver

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or our right to enforce it in the future.

22. Assignment

You may not assign or transfer these Terms or your rights under them. We may assign these Terms to any successor or affiliate without restriction.
